Terms of Service

These Terms govern your use of Restaurant Velocity. Please read them. They cover your subscription, the accounts you connect, what you can and cannot do, and the limits of our responsibility.

01Agreement to these terms

These Terms of Service (the "Terms") are a legal agreement between you and Restaurant Velocity, LLC, a Delaware limited liability company ("Restaurant Velocity", "we", or "us"). They govern your access to and use of the Restaurant Velocity web application and related services (the "Service").

By creating an account or using the Service, you agree to these Terms and to our Privacy Policy. If you are using the Service for a restaurant or other organization, you confirm that you are authorized to accept these Terms on its behalf. If you do not agree, do not use the Service.

02The Service

Restaurant Velocity helps restaurants manage their online presence. It connects to your Google Business Profile and your Meta accounts and drafts review replies, posts, photo captions, and comment replies for you to review.

The Service is provided on a subscription basis. We may add, change, or remove features over time to improve the product. We will not make a change that materially reduces the core functionality of a paid plan without letting you know.

03Your account

You must provide accurate information when you sign up and keep it up to date. You are responsible for your account credentials and for all activity that happens under your account. Tell us promptly at support@restaurantvelocity.com if you believe your account has been accessed without authorization.

You must be at least 18 years old to use the Service. You may invite team members to your account; you are responsible for their use of the Service and for the roles you assign them.

04Subscription, billing, and trial

The Service is billed per restaurant location on a recurring basis. Pricing is shown during signup and in the billing section of the app. Billing and payments are processed by Stripe; by subscribing you also agree to Stripe's terms.

  • Free trial. New subscriptions may include a free trial. If you do not cancel before the trial ends, the subscription converts to a paid plan and your payment method is charged.
  • Renewal. Subscriptions renew automatically each billing period until cancelled.
  • Changes. Adding or removing locations changes your charge. Stripe prorates these changes so you pay only for the time each location is active.
  • Cancellation. You can cancel at any time from the billing section, which opens the Stripe customer portal. There is no long-term contract and no early-termination fee.
  • Failed payments. If a payment fails, we will retry it and may pause access to the Service until payment succeeds.

Except where required by law, payments are non-refundable. If you believe you were charged in error, contact support@restaurantvelocity.com and we will look into it.

05Connecting Google and Meta

The Service works by connecting to your Google Business Profile and your Meta accounts through their official authorization flows. You may only connect accounts that you own or are authorized to manage.

Your use of Google and Meta remains subject to their own terms and policies. Restaurant Velocity is an independent product and is not endorsed by, affiliated with, or sponsored by Google or Meta. We are not responsible for changes those platforms make to their APIs, policies, or availability, which may affect what the Service can do.

You can disconnect a provider at any time from the connections screen in Settings.

06Acceptable use

When using the Service, you agree not to:

  • Break any law, or violate the terms or policies of Google, Meta, or any other platform you connect.
  • Publish content that is false, deceptive, defamatory, harassing, hateful, or that infringes someone else's rights.
  • Post fake reviews, fake engagement, or content that misrepresents your business.
  • Attempt to break, overload, reverse engineer, or gain unauthorized access to the Service or its systems.
  • Use the Service to send spam or to access data that does not belong to you.
  • Resell or sublicense the Service without our permission.

We may suspend or terminate access that we reasonably believe violates these rules or puts the Service, other users, or third parties at risk.

07Your content and your approval

You keep all ownership of your content: your business information, your brand voice, your menu, and anything published to your own channels. You grant us a limited license to process that content only as needed to provide the Service to you.

The Service drafts content for you, but you decide what gets published. Every drafted reply and post waits for your review. When you approve an item, or when you enable an automatic publishing mode, you are responsible for the content that is published to your accounts. We recommend reviewing drafts before approving them.

08AI-drafted content

The Service uses automated systems and third-party AI providers to generate drafts. AI output can contain mistakes, including inaccurate statements. The Service includes checks designed to keep drafts grounded in the facts you provide, but no automated check is perfect.

Because you review and approve content before it is published, you are responsible for ensuring that what you publish is accurate and appropriate for your business. We are not liable for the consequences of content you choose to publish.

09Our intellectual property

The Service itself, including its software, design, branding, and documentation, is owned by Restaurant Velocity and protected by intellectual property law. These Terms do not give you any right to our name, logo, or other brand features. We welcome feedback, and if you send us suggestions you agree we may use them to improve the Service without obligation to you.

10Third-party services

The Service depends on third-party services such as Google, Meta, Stripe, and our infrastructure and AI providers. Your use of those services is governed by their own terms. We are not responsible for the acts, omissions, availability, or content of third-party services, and a disruption at one of them may affect the Service.

11Disclaimers

The Service is provided "as is" and "as available". To the fullest extent permitted by law, we disclaim all warranties, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or that it will produce any particular business result, such as a specific number of reviews, ranking, or revenue.

12Limitation of liability

To the fullest extent permitted by law, Restaurant Velocity and its owners and personnel will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising out of or related to your use of the Service. Our total liability for any claim relating to the Service will not exceed the amount you paid us for the Service in the twelve months before the event giving rise to the claim. Some jurisdictions do not allow certain limitations, so parts of this section may not apply to you.

13Indemnification

You agree to defend and indemnify Restaurant Velocity against claims, damages, and reasonable costs that arise from your misuse of the Service, your violation of these Terms, your violation of the terms or policies of Google, Meta, or another platform, or content you publish through the Service.

14Termination

You may stop using the Service at any time. You can cancel your subscription from the billing section and delete your account from Settings → Danger zone. Deleting your account permanently erases your data; see our Data Deletion page.

We may suspend or terminate your access if you materially breach these Terms, if required by law, or if continuing to provide the Service to you would create a security or legal risk. Sections of these Terms that by their nature should survive termination (such as intellectual property, disclaimers, limitation of liability, and indemnification) will continue to apply.

15Changes to these terms

We may update these Terms as the Service evolves or the law changes. When we make a material change we will update the "Last updated" date and, where appropriate, notify you by email. If you continue to use the Service after a change takes effect, you accept the updated Terms. If you do not agree, stop using the Service and you may cancel and delete your account.

16Governing law and disputes

These Terms are governed by the laws of the State of Delaware, USA, without regard to its conflict-of-laws rules. You and Restaurant Velocity agree to first try to resolve any dispute informally by contacting legal@restaurantvelocity.com. Any dispute that cannot be resolved informally will be subject to the exclusive jurisdiction of the state and federal courts located in Delaware, and you consent to venue there.
